Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Lysco, Inc. ("Lysco," "we," "us," or "our") governing your access to and use of our website, applications, and related services (collectively, the "Service").

By accessing or using the Service, creating an account, clicking to accept these Terms, or uploading information or documents to the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and Account Registration

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

You agree to provide accurate, current, and complete information when creating an account and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe your account has been accessed without authorization, you must notify us promptly.

2. The Service

Lysco provides an automated, AI-enabled informational tool designed to help users review insurance-related documents, medical bills, prescription pricing information, and public or user-supplied benefit information. The Service may generate summaries, suggested talking points, draft letters, checklists, or other informational outputs.

Lysco does not submit appeals, communicate with insurers, medical providers, pharmacies, or government agencies on your behalf unless we expressly state otherwise in a separate written agreement. Any letters, appeals, complaints, or other documents generated by the Service are drafts for your review, modification, and voluntary use.

3. Important Disclaimers

A. Lysco Is Not a Law Firm or Lawyer

Lysco is not a law firm, does not provide legal services, and does not practice law in any jurisdiction. Nothing in the Service constitutes legal advice, legal representation, or legal work product prepared by a licensed attorney. Use of the Service does not create an attorney-client relationship, fiduciary relationship, or any similar professional relationship between you and Lysco. Any appeal letters, complaint templates, citations, summaries, or recommendations provided by the Service are informational starting points only. You are solely responsible for determining whether any output is appropriate for your situation and whether it should be used, modified, verified, or submitted.

B. Lysco Is Not a Medical Provider

Lysco is not a physician, medical practice, pharmacy, or other licensed healthcare provider. The Service does not diagnose, treat, prescribe, or provide medical advice. Any health-related information provided through the Service is for general informational purposes only and should not be relied on as a substitute for professional medical judgment. Always consult a qualified physician, pharmacist, or other licensed healthcare professional regarding medical decisions, prescriptions, procedures, diagnoses, or treatment.

C. Lysco Is Not an Insurance Adjuster, Public Adjuster, or Insurance Agent

Lysco is not a licensed insurance adjuster, public adjuster, or insurance agent, and does not provide insurance adjustment services. The Service does not make coverage determinations, interpret insurance contracts on behalf of an insurer or insured in a professional capacity, or negotiate claims as a licensed representative.

D. No Professional Relationship

Your use of the Service does not create any attorney-client, doctor-patient, adjuster-client, fiduciary, advisory, or other professional relationship with Lysco.

E. High-Stakes Matters

Insurance appeals, reimbursement disputes, billing disputes, and benefit determinations can be time-sensitive and may affect important legal, financial, or medical rights. In some matters, including certain employer-sponsored health plans governed by ERISA, the administrative record and timing of submissions may materially affect future rights or remedies. You should consult a qualified licensed professional before relying on or submitting any Lysco output for complex, high-value, urgent, or consequential matters.

4. AI-Generated Outputs

The Service uses automated systems, including artificial intelligence, to generate outputs. AI-generated content may be inaccurate, incomplete, outdated, biased, misleading, improperly formatted, or unsuitable for your circumstances. It may also include incorrect references, omitted deadlines, or fabricated or unsupported statements.

You understand and agree that:

  • all outputs must be reviewed by you before use or submission;
  • you must independently verify facts, dates, deadlines, citations, addresses, names, plan terms, and legal or medical assertions;
  • Lysco does not guarantee that any output is accurate, complete, compliant, or fit for a particular purpose; and
  • unless expressly stated by Lysco in writing, AI-generated outputs are not reviewed by a licensed attorney, physician, pharmacist, adjuster, or other professional.

5. Your Responsibilities

You are solely responsible for:

  • the accuracy, completeness, legality, and reliability of any information or documents you upload or provide;
  • reviewing all outputs before using, sharing, submitting, or relying on them;
  • independently verifying all factual statements, deadlines, citations, medical information, plan terms, and legal references;
  • deciding whether to consult qualified legal, medical, insurance, tax, or other professionals;
  • complying with all applicable laws, rules, deadlines, contractual obligations, and plan requirements;
  • all consequences of actions you take or do not take based on the Service; and
  • ensuring that you have the right to upload or share any document or information you provide to Lysco.

You may not use the Service to commit fraud, impersonate another person, harass or threaten others, submit false claims, generate knowingly misleading communications, violate any law, or interfere with the security or operation of the Service.

6. Privacy and Health-Related Information

You may choose to upload documents that contain personal, financial, insurance, or health-related information. By doing so, you instruct us to process that information in order to provide the Service to you, subject to our Privacy Policy.

Lysco is a consumer service and may not be a "covered entity" or "business associate" under HIPAA in all circumstances. Our privacy and security practices are described in our Privacy Policy and any applicable supplemental privacy notices. You acknowledge that laws other than HIPAA may apply to consumer health information, including FTC requirements and certain state consumer health data laws.

We implement safeguards designed to protect information we process, but no method of transmission, storage, or processing is completely secure. We do not guarantee absolute security.

7. Consent to Electronic Communications

You consent to receive electronic communications from us, including emails, notices, disclosures, billing communications, service announcements, and other messages related to your account or use of the Service. You agree that these electronic communications satisfy any legal requirement that communications be in writing.

8. Subscription, Billing, and Refunds

Certain features of the Service may require payment of subscription or other fees. By purchasing a paid plan, you authorize us and our payment processors to charge the applicable fees, taxes, and any recurring amounts disclosed at the time of purchase.

Unless otherwise stated at the time of purchase:

  • subscriptions automatically renew until canceled;
  • you may cancel at any time through your account settings or by contacting support;
  • cancellation will take effect at the end of the current billing period; and
  • fees already paid are non-refundable except where required by law or as expressly stated by us in writing.

We may change pricing, features, or plan structures prospectively. If we materially increase recurring subscription pricing, we will provide advance notice as required by applicable law.

9. No Guarantee of Results

Lysco does not guarantee any particular result, including but not limited to:

  • reversal of an insurance denial;
  • reduction of a medical bill;
  • prescription savings;
  • eligibility for a benefit, program, or reimbursement;
  • acceptance of an appeal, complaint, or submission; or
  • avoidance of delay, loss, liability, or adverse consequences.

Any examples, estimates, confidence scores, savings ranges, success rates, or probabilities shown through the Service are illustrative only unless expressly identified as substantiated, current, and applicable to your situation. Individual outcomes depend on numerous factors outside our control.

10. Intellectual Property and License

The Service, including its software, design, interfaces, text, graphics, branding, and underlying technology, is owned by Lysco or its licensors and is protected by intellectual property laws.

Subject to your compliance with these Terms, Lysco grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, internal, non-commercial use, unless otherwise agreed in writing.

You retain any rights you may have in documents and information you upload, subject to the rights you grant us to operate the Service. You grant Lysco a limited, non-exclusive license to host, store, process, reproduce, and transmit your content solely as reasonably necessary to provide, maintain, secure, and improve the Service in accordance with our Privacy Policy.

11. Feedback

If you provide ideas, suggestions, recommendations, or feedback regarding the Service, you grant Lysco a perpetual, irrevocable, worldwide, royalty-free license to use and exploit that feedback without restriction or compensation to you.

12. Third-Party Services and Content

The Service may rely on or link to third-party services, models, websites, databases, payment processors, or content. Lysco is not responsible for third-party products, services, policies, acts, omissions, availability, or content. Your use of third-party services may be subject to separate terms and privacy policies.

13. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe:

  • you have violated these Terms;
  • your use poses a security, legal, or reputational risk to Lysco or others;
  • your use is fraudulent, abusive, or unlawful; or
  • suspension is necessary to protect the Service, our users, or third parties.

You may stop using the Service at any time. Termination does not affect any rights or obligations that, by their nature, should survive termination.

14. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

LYSCO DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, OR FREE OF HARMFUL COMPONENTS.

WITHOUT LIMITING THE FOREGOING, LYSCO DOES NOT WARRANT THAT ANY OUTPUT WILL BE LEGALLY SUFFICIENT, MEDICALLY APPROPRIATE, CLINICALLY ACCURATE, INSURANCE-COMPLIANT, COMPLETE, CURRENT, OR SUCCESSFUL.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYSCO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, COVERAGE, BENEFITS, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LYSCO WILL NOT BE LIABLE FOR ANY CLAIMS ARISING FROM OR RELATED TO YOUR RELIANCE ON AI-GENERATED OUTPUTS, MISSED DEADLINES, REJECTED APPEALS, DENIED CLAIMS, BILLING DECISIONS, PRESCRIPTION DECISIONS, DATA LOSS, SERVICE OUTAGES, OR THIRD-PARTY ACTS OR OMISSIONS.

THE TOTAL AGGREGATE LIABILITY OF LYSCO FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO LYSCO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

16. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Lysco and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, demands, actions, proceedings, damages, judgments, settlements, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use or misuse of the Service;
  • your content, documents, or data;
  • your violation of these Terms;
  • your violation of any law or rights of a third party; or
  • your submission or use of any Lysco-generated content without appropriate review or verification.

17. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

A. Informal Resolution First

Before filing a claim, you agree to first contact us at legal@lysco.com and attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days after notice, either party may pursue formal resolution as permitted below.

B. Agreement to Arbitrate

Except for disputes that qualify for small claims court and except for claims seeking injunctive or equitable relief for alleged misuse of intellectual property or unauthorized access to the Service, you and Lysco agree to resolve disputes arising out of or relating to these Terms or the Service through final and binding arbitration administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules in effect at the time the claim is filed.

C. No Class Actions; No Jury Trial

To the maximum extent permitted by law, you and Lysco agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, collective, or representative proceeding. You and Lysco knowingly and voluntarily waive any right to a jury trial for claims subject to arbitration.

D. Arbitration Procedure

If arbitration is initiated, the AAA rules will govern the appointment of the arbitrator, the conduct of proceedings, fees, and available relief. If in-person proceedings are required, the location will be the county or parish where you reside, unless the parties agree otherwise or applicable AAA rules provide otherwise. If the claim qualifies, either party may elect telephone, video, documents-only, or other streamlined procedures as permitted by the AAA rules.

E. Severability

If any part of this Section 17 is found unenforceable as to a particular claim or remedy, that claim or remedy shall proceed in a court of competent jurisdiction, but the remainder of this Section 17 will remain in effect to the fullest extent permitted by law.

18. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service will be governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, except to the extent preempted by U.S. federal law or superseded by the arbitration provisions above or non-waivable consumer protection laws.

19. International Use

Lysco is based in the United States and is intended primarily for users in the United States. If you access or use the Service from outside the United States, you do so at your own risk and are responsible for compliance with local law. If personal data is transferred internationally, those transfers will be handled in accordance with applicable law and as described in our Privacy Policy.

20. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will provide notice by reasonable means, such as posting the updated Terms, updating the "Last Updated" date, or providing in-product or email notice where appropriate. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.

21. General Terms

These Terms, together with our Privacy Policy and any other terms expressly incorporated by reference, constitute the entire agreement between you and Lysco regarding the Service and supersede prior or contemporaneous understandings regarding the Service.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

Lysco's failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

You may not assign or transfer these Terms without Lysco's prior written consent. Lysco may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

The section headings in these Terms are for convenience only and have no legal effect.
